LICENSE AGREEMENT
		

1. Agreement

a. You should carefully read the following terms and conditions before installing this software. This License Agreement is a legal agreement between you as an individual and infoPager Technologies (hereinafter: infoPager Technologies) for installation and use of the "newZPrint Software" product described below, which includes computer software in object code form and which may also include associated media, printed materials and electronic documentation (hereinafter: the "Software").  

b. By installing, copying or otherwise making any use of the "Software", you indicate your acceptance to the terms and conditions of this License Agreement. If you do not agree to be bound by the terms and conditions of this License Agreement, do not install, copy or otherwise use the "Software" product. 

c. After installation of the "Software", you are required to furnish to infoPager Technologies one-time registration information as requested in order for this License Agreement to go into effect. 


2. Grant of License

a. You may download electronically for storage from a network server, or otherwise load from a storage device, one copy of the "Software" for installation and private use on a single computer. The "Software" enables you to download, from an internet website, portions of selected newspapers or other periodicals,  for on-line viewing and/or printing, and/or for storage of the contents on a storage medium for viewing and/or printing at a later time, all in accordance with your designated preferences.

You may also store or install for private use a copy of the "Software" on a storage device, such as a network server, which storage device is used only to install and/or run the "Software" on your other computers over an internal network, provided that each such use over the network is for personal use only. In such a case, however, you must acquire and dedicate a license for each separate computer on which the "Software" is installed or run from the storage device, it being understood that a license for the "Software" may not be shared or used concurrently on different computers.]


3. Copyright

a. All right, title and copyright in the "Software" is owned solely by infoPager Technologies. The copyright in the "Software" is protected by national copyright laws and international copyright treaties provisions.  


4. Registration Fee

a. In conjunction with paragraph 1(c), you are required to pay to infoPager Technologies a one-time registration fee in such amount and in accordance with such terms and conditions as InfoPager Technologies shall designate.


5. Rights and Limitations

a. You may not reverse engineer, decompile, or disassemble the "Software", except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation, nor may you alter or modify the "Software" in any fashion.

b. The "Software" is licensed as a single product. Its component parts may not be separated for use with more than one computer.

c. You may not rent, lease or lend the "Software" in any fashion.

d. You may not assign or otherwise transfer any or all of your rights under this License Agreement to any other person.


6. Disclaimer 

a. Nothing herein shall be construed as the grant to you of any right from infoPager Technologies or its subsidiaries or affiliates (hereinafter: "its Affiliates") to use the contents of any newspaper or other periodicals as aforesaid. You should carefully check the web sites of each of the newspapers or other periodicals as aforesaid for the terms and conditions for use of the contents contained thereon. 

b. Under no circumstances is the "Software" intended to be used by you for any purpose other than for personal use only and for those uses lawfully intended under this agreement, either as permitted by the rightsholder of the contents as aforesaid, or as otherwise permitted by law. Any unlicensed use or any use not otherwise permitted by law may be a violation of the copyright laws and other laws.  

c. THE "SOFTWARE" IS PROVIDED "AS IS" WITHOUT ANY EXPRESS WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE, AND OTHER ACCOMPANYING MATERIALS.  

d. The aggregate liability of infoPager Technologies, its Affiliates or other person who has been involved in the creation, production or delivery of the "Software", shall be limited to the registration fee paid. 

e. In no event will infoPager Technologies or its Affiliates be liable to you for any damages, including lost profits, business interruption, lost savings, loss of business information or other incidental or consequential damages arising out of the use or the inability to such use the "Software," even if infoPager Technologies or its Affiliates has been advised of the possibility of such damages. Further, infoPager Technologies or its Affiliates shall not be liable for any claim by any person arising out of or related to use of the "Software."


7. Termination

a. Notwithstanding any other provision under this License Agreement, infoPager Technologies may terminate this License Agreement if you fail to comply fully with its terms and conditions. In the event of termination for whatever reason, you must immediately destroy all copies of the "Software". 


8. Governing Law

a. The construction and interpretation of this License Agreement shall be subject to the laws of _______.  
	

9. US Government Restricted Rights

a. This Software and user documentation is provided with RESTRICTED RIGHTS and LIMITED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software Clause at DFARS 252.227-7013 or subparagraphs (c)(i) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52.12-19, as applicable [address of infoPager Technologies]. 


10. Miscellaneous

a. The captions used in this License Agreement are for the convenience of the reader only and are not to be taken into account in the construction or interpretation of this License Agreement.

b. If any of the provisions of this License Agreement, or any part thereof, is deemed to be invalid or unenforceable, the remaining provisions shall remain valid.
